Terms
These terms govern your use of Standkeep. The most important one is the third: Standkeep is an informational tool and does not file anything for you.
1. The agreement
By creating an account or using standkeep.ca, you agree to these terms. If you are agreeing on behalf of a corporation, you confirm you are authorised to bind it, and “you” means that corporation.
2. What the service does
Standkeep derives a statutory calendar from facts you supply about a corporation, sends reminders before the deadlines that calendar contains, cites the government source for each rule, generates certain documents for you to review and sign, and stores files you choose to upload.
3. What the service is not
Standkeep is not a lender, broker, lawyer, accountant or licensed advisor, and nothing it produces is legal, tax, accounting or financial advice. It does not file, submit or transmit anything to any government body on your behalf, and it never will. It states deadlines and cites their sources; it does not interpret them for your circumstances. It computes dates, and never an amount of tax owing to or refundable by any government. The one calculation it makes on tax is on invoices you issue through it, at the rates you choose; whether a sale is taxable, and at what rate, is your decision. It emails an invoice to your client only when you ask it to — from its page, or as the overdue reminders you may turn on — as your message and under your responsibility; it does not collect payments or hold money for you. You remain solely responsible for your corporation's filings, for the records it must keep and for meeting its obligations, and you should confirm anything that matters with a qualified professional.
4. Accuracy, and its limits
Every rule carries a government source, a citation and the date it was last verified, and Standkeep takes that seriously. But laws, policies and administrative practices change; a source can be ambiguous; and a calendar is only ever as right as the facts you enter. Standkeep does not warrant that a date is correct or that its rule set is complete, and it is not a substitute for your own diligence. Where a rule has an unresolved question, Standkeep shows it rather than hiding it.
5. Your responsibilities
You are responsible for the accuracy of what you enter, for keeping access to your email address — which is how you sign in — and for the content of files you upload. Do not upload anything you have no right to store, and do not use Standkeep to break the law or to interfere with the service or its other customers. Standkeep never asks for a government credential and you should never enter one; there is nowhere in the product that it belongs.
6. Reminders
Reminders are sent by email and made available as a calendar feed. Standkeep treats a silent failure to send as its most serious class of defect and builds accordingly — retries, alerting, and no double-sending — but email delivery depends on networks and mailbox providers outside its control. A reminder is a convenience, not a guarantee, and it does not transfer responsibility for a deadline from you to Standkeep.
7. Billing
The trial runs for the period stated on the pricing page and takes no card. After that, a subscription is billed in Canadian dollars, monthly or annually as you choose, plus applicable GST/HST. The price is the one published when you subscribe and is pinned to your subscription. Payments are processed by Stripe under its own terms; Standkeep never receives your card number.
8. Cancellation and what happens after
Cancel at any time from the billing portal. Access continues to the end of the period you have paid for; fees already paid are not refunded on a pro-rata basis unless the law requires it. If a payment fails, the subscription enters a short grace period during which reminders keep running before access becomes read-only. When a subscription ends, your data is not deleted and the export keeps working.
9. Deleting your account
You may delete the account from inside the product at any time. Deletion cancels the subscription with the payment provider and then removes the organisation's records, and it is not reversible. Export first if you want a copy.
10. Availability and changes
Standkeep is provided on an “as available” basis. It may be taken down for maintenance, and features may change. Where a change materially reduces what you are paying for, you will be told before it takes effect.
11. Intellectual property
Standkeep, its name, its rule set and the software behind it belong to LOONIELODGE INC. You keep everything you put in: your corporation's records, your notes and your uploaded files remain yours, and Standkeep claims no ownership of them. You grant only the permission needed to store, process and return that content to you in the course of running the service.
12. Disclaimer of warranties
To the extent the law allows, Standkeep is provided without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or uninterrupted operation. Some consumer-protection laws do not permit these exclusions, and nothing here removes a right you have that cannot be waived.
13. Limitation of liability
To the extent the law allows, LOONIELODGE INC. is not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data, or penalties, interest or fees assessed by any government body. Its total liability arising out of the service is limited to the amount you paid for it in the twelve months before the claim arose. This does not limit liability for anything that cannot be limited by law.
14. Indemnity
You agree to hold LOONIELODGE INC. harmless from claims arising out of your use of the service in breach of these terms or of the law.
15. Suspension
An account may be suspended or closed where it is used unlawfully, where it threatens the service or other customers, or where fees go unpaid past the grace period. Except where the law or an ongoing investigation prevents it, you will be told why and given the chance to export first.
16. Governing law
These terms are governed by the laws of the Province of Ontario and the laws of Canada that apply there, and the courts of Ontario have jurisdiction — without displacing any right you have to bring a matter before the courts or a consumer body in your own province.
17. Language
These terms are published in English and French. The parties have required that these terms be drawn up in both languages.
18. Changes to these terms
If these terms change materially, you will be told by email before the change takes effect, and continuing to use Standkeep afterwards is how you accept them.
